Terms of Service & User Agreement

These Terms govern your use of fleetworks.in, the FleetWorks Android application, and all related services (together, the "Platform"), operated by FleetWorks Private Limited ("FleetWorks", "we", "our"). By creating an account, booking a service, registering as a partner, or otherwise using the Platform, you agree to these Terms. If you do not agree, please do not use the Platform.
1. Who may use FleetWorks
The Platform is intended for commercial vehicle owners, operators, transport businesses, and service workshops. You must be at least 18 years old and legally able to enter into a contract under the Indian Contract Act, 1872. If you use the Platform on behalf of a business, you confirm you are authorised to bind that business to these Terms.
2. What FleetWorks is — and what it is not
FleetWorks provides two distinct things, and the difference matters:
(a) Software. Fleet management tools — compliance tracking, expense and fuel records, inspections, job cards, driver and payroll records, analytics and AI features such as Foresight and Copilot.
(b) A service marketplace. An intermediary platform that connects you with independent third-party workshops, mechanics, and service providers ("Partners").
FleetWorks is an intermediary for all marketplace services. We do not ourselves repair vehicles, supply parts, or perform any workshop service. Repair work is contracted directly between you and the Partner who performs it. FleetWorks is an "intermediary" within the meaning of the Information Technology Act, 2000 and an "e-commerce entity" under the Consumer Protection (E-Commerce) Rules, 2020 in respect of these services.
3. Accounts and your data
You are responsible for the accuracy of information you enter and for keeping your login credentials confidential. You must notify us promptly of any unauthorised use of your account. You remain responsible for activity carried out under your credentials, including by staff, supervisors or drivers to whom you grant access.
Your fleet data belongs to you. We process it to provide the Platform, as described in our Privacy Policy. We may use anonymised and aggregated data — which cannot identify you, your business or your vehicles — to produce industry benchmarks and improve the Platform.
4. Bookings, quotes and Partner services
A booking request is a request, not a confirmed contract. A service is confirmed only when a Partner accepts it and agrees the scope and price with you. Estimates shown before inspection are indicative; the final price is what you and the Partner agree.
Guarantees. Where the Platform advertises a low-price guarantee, genuine-parts assurance or workmanship warranty, those commitments are subject to the specific terms published alongside them and are honoured through the Partner network. They apply only to work booked and paid for through FleetWorks, and do not extend to work you arrange directly with a Partner outside the Platform.
Partner responsibility. Partners are independent businesses, not our employees or agents. They are responsible for the quality, safety, timeliness and legality of the work they perform, for their own licences and registrations, and for any warranty they offer on that work.
5. Fees, subscriptions and trials
Subscription plans, trial periods and any applicable fees are as published on the Platform or as separately agreed with you in writing. Free trials convert to a paid plan only if you choose to subscribe; we will not charge you without your consent. All fees are exclusive of GST unless stated otherwise, and GST is charged at the applicable rate.
Charges for Partner services are payable to the Partner (or through the Platform where that option is offered) on the terms agreed with that Partner.
Cancellations and refunds are governed by our Cancellation & Refund Policy, which forms part of these Terms.
6. Payments to drivers and third parties
Where the Platform helps you record or initiate payments to your drivers or other parties, FleetWorks provides record-keeping and, where offered, integration with a licensed payment service provider. You remain the payer. You are responsible for the accuracy of payment details, for the legality of each payment, and for your obligations as an employer including wages, statutory deductions and record-keeping.
7. Insurance and compliance assistance
FleetWorks is not an insurer and does not underwrite insurance. Where the Platform helps you obtain insurance quotations or assists with regulatory paperwork such as permits, fitness or PUC, it does so by facilitating an introduction to licensed insurers, licensed insurance intermediaries or authorised service providers. Any insurance contract is between you and the insurer, on the insurer's terms. Premiums, cover and acceptance are determined solely by the insurer.
8. AI features
Foresight, Copilot and related features produce estimates, forecasts and suggestions generated from the data available to them. They are decision-support tools, not professional advice, and they can be wrong. Their output depends on the completeness and accuracy of the data you enter. You should not rely on them alone for safety-critical maintenance, statutory compliance, financial or legal decisions. Always confirm with a qualified professional.
9. Acceptable use
You agree not to: use the Platform for any unlawful purpose; upload false, misleading or infringing content; attempt to access another user's or organisation's data; probe, scan or interfere with the security or availability of the Platform; scrape or extract data by automated means without our written permission; resell or white-label the Platform without a written agreement; or impersonate any person or business.
10. Partner obligations
If you register as a Partner workshop, you additionally confirm that you hold all licences, registrations and permissions required to carry on your trade; that you will use genuine parts where the job or our published guarantee requires it; that you will honour agreed pricing and any warranty you offer; and that you will not solicit customers introduced through the Platform to transact outside it in order to avoid Platform fees.
11. Intellectual property
The Platform, its software, design, content and the FleetWorks name and marks are owned by FleetWorks Private Limited. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to use the Platform for your own business purposes. Nothing here transfers ownership of our intellectual property to you.
12. Availability
We work to keep the Platform available and accurate but do not guarantee uninterrupted or error-free operation. We may modify, suspend or discontinue features, with notice where reasonably practicable. Planned maintenance may cause temporary unavailability.
13. Limitation of liability
To the maximum extent permitted by law, FleetWorks is not liable for the acts, omissions, workmanship, delays or conduct of any Partner; for loss of profit, revenue, business, vehicle downtime or data; or for indirect or consequential loss.
Our total aggregate liability arising out of or in connection with the Platform in any twelve-month period is limited to the amount of subscription fees you paid to FleetWorks in that period, or ₹10,000, whichever is higher.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Indian law, including liability for fraud, or your rights as a consumer under the Consumer Protection Act, 2019.
14. Indemnity
You agree to indemnify FleetWorks against claims, losses and reasonable costs arising from your breach of these Terms, your misuse of the Platform, or your violation of any law or third-party right.
15. Suspension and termination
You may stop using the Platform and close your account at any time. We may suspend or terminate access where you materially breach these Terms, where required by law, or where continued access poses a security or safety risk. On termination you may export your data for a reasonable period; thereafter we retain or delete it in line with our Privacy Policy and applicable law.
16. Grievance Officer
In accordance with the Information Technology Act, 2000 and the Consumer Protection (E-Commerce) Rules, 2020, complaints may be addressed to our Grievance Officer, who will acknowledge your complaint within 48 hours and endeavour to resolve it within one month of receipt.

17. Governing law and jurisdiction
These Terms are governed by the laws of India. Subject to your rights under consumer protection law, the courts of Tamil Nadu shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.
18. Changes to these Terms
We may update these Terms from time to time. The current version is always available at fleetworks.in/terms.html, with the last-updated date shown above. Material changes will be notified through the Platform. Continued use after a change takes effect means you accept the revised Terms.
